Welcome to Tawseel. These Terms and Conditions (“Terms”) govern your access to and use of the website https://tawseel.ae, the Tawseel mobile application, and all associated logistics and SaaS services (collectively, the “Platform”).

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you must immediately cease using the Platform.

1. Definitions

• Platform/App: Refers to the Tawseel website, and mobile applications.
• User: Any individual or entity accessing the Platform, including clients (SaaS subscribers), merchants, and delivery personnel/drivers.
• Services: Logistics management solutions, including but not limited to first-mile and last-mile delivery tracking, route optimization, vehicle monitoring, and electronic proof of delivery.
• Tawseel: Refers to TAWSEEL ORDERS AND DELIVERING, its affiliates, and associates.

2. Eligibility and Account Use

• Age Requirement: Users must be at least 18 years of age or have attained the age of majority in the UAE.
• Account Accuracy: You are responsible for providing accurate, current, and complete information during registration. Tawseel is not liable for service failures resulting from incorrect user-provided data.
• Security: Users are solely responsible for maintaining the confidentiality of their login credentials. Any activity occurring under your account is your responsibility.
• Prohibited Use: The Platform must not be used for any fraudulent or illegal purposes, or in any manner that violates the public morals, laws, and regulations of the United Arab Emirates.

3. Logistics and Delivery Services

• Performance: While Tawseel and its partners make every reasonable effort to ensure delivery within estimated timeframes, these times are estimates only. Tawseel is not liable for delays caused by factors beyond its reasonable control, including but not limited to traffic, weather, or customs inspections.
• Delivery Failure: If a delivery cannot be completed due to an incorrect address provided by the user or a failure to respond to the driver’s attempts to communicate, the service shall be deemed "Completed."
• Proof of Delivery: Use of the Platform constitutes acceptance of electronic signatures and geo-tagging as valid proof of delivery.

4. Driver and Personnel Responsibilities

• Professional Conduct: Drivers must handle all shipments with due care and adhere to all UAE traffic laws and safety regulations.
• Integrity: Tampering with, opening, or substituting orders is strictly prohibited and may result in immediate account termination and legal action.
• Vehicle Inspection: Drivers are required to complete all mandated vehicle inspections via the App, providing accurate "Start Trip" and "End Trip" data as requested.

5. Privacy and Data Protection

• Collection: We collect personal data (e.g., name, mobile number, and real-time geolocation) to provide and optimize our logistics services.
• Compliance: All data processing is handled in accordance with our Privacy Policy and UAE Federal Decree-Law No. 45 of 2021 (PDPL).
• Confidentiality: We do not share user data with third parties for marketing purposes without your consent, unless required by UAE judicial or governmental authorities.

6. Limitation of Liability

Tawseel provides the Platform on an "as-is" and "as-available" basis. To the maximum extent permitted by UAE law, Tawseel shall not be liable for any indirect, incidental, or consequential damages arising from:

• Use or inability to use the Platform.
• Unauthorized access to or alteration of your transmissions or data.
• Acts or omissions of third-party service providers.

7. Amendments

Tawseel reserves the right to modify these Terms at any time. Significant updates will be communicated via the Platform or email. Your continued use of the Services following such notification constitutes your explicit acceptance of the revised Terms.

8. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the Federal Laws of the United Arab Emirates and the local laws of the Emirate in which Tawseel is registered.

Any dispute, claim, or controversy arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the UAE Courts.
